Subject to the Dispute Resolution section below, any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the competent courts located in Kunming, Yunnan Province, China. You irrevocably consent to the personal jurisdiction of such courts and waive any objection to the laying of venue in such courts on the grounds of forum non conveniens or otherwise.
The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply to these Terms or any transactions conducted through the Site or Services.

The arbitration shall take place in Kunming, China, and the proceedings shall be conducted in English. The decision of the arbitrator shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
You agree to resolve any disputes with us on an individual basis only and not as part of any class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against GuangShan. If for any reason a claim proceeds in court rather than in arbitration, each party waives any right to a jury trial.
We reserve the right, at our sole discretion, to modify, amend, or replace these Terms at any time. When we make material changes, we will post the updated Terms on this page and update the Last Updated date at the top of the document. We may also provide additional notice of significant changes through a notice on our Site or via email communication if you have opted to receive such notifications.

These Terms, together with our Privacy Policy and any specific service agreements or statements of work executed between you and GuangShan, constitute the entire agreement between you and Kunming Guangshan Trading Co., Ltd. with respect to your use of the Site and Services, and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral, relating to the subject matter hereof.
